1. PARTIES & SCOPE
This Agreement is between Gymnastics Tracks (“Licensor”) and the Purchaser (“Licensee”). This license governs the use of the musical work purchased (the “Work”).
2. AUTHORSHIP & CREATIVE PROCESS
Licensor declares that the Work is a "Partially AI-Generated" composition.
Human Authorship: The Licensor has exercised substantial creative control through the selection, coordination, and arrangement of audio fragments.
AI Involvement: Generative AI (Suno Pro/Premier) was used as a tool for raw material, but the final structure and expression are the result of Licensor’s manual editing and production.
3. GRANT OF LICENSE
Licensor grants Licensee a Non-Exclusive, Commercial License to use the Work worldwide, in perpetuity, for the following purposes:
Public Performance: Public broadcast and performance are permitted and cleared via Licensor’s affiliation with BMI (IPI: 00692342140).
Synchronization: Usage as background audio in video content (social media, ads, podcasts) is permitted.
Reproduction: Licensee may reproduce and distribute the work as part of a larger project (e.g., a film or app).
4. OWNERSHIP & COPYRIGHT LIMITATIONS
Commercial Rights: Licensor warrants that they held a valid commercial subscription at the time of creation and possess the rights to sub-license the Work.
Copyright Disclaimer: Licensee acknowledges that under 2026 U.S. Copyright Office guidelines, the "raw" AI-generated portions of the melody may be in the public domain. This license covers the human-authored arrangement and the commercial usage rights granted by the software provider to the Licensor.
5. RESTRICTIONS
Licensee MAY NOT:
Register the Work with a Performance Rights Organization (PRO) or Content ID system as their own.
Sell the Work as a standalone "stock" music file.
Claim sole authorship of the underlying melody or lyrics (if any).
6. INDEMNIFICATION
Licensor provides the Work "as-is." While the Licensor has curated the output to ensure originality, Licensee acknowledges the inherent nature of generative AI and agrees that Licensor is not liable for unintentional "hallucinations" or similarities to third-party works generated by the AI model.
